1. These Terms of Use (the “Terms”) set forth the conditions governing the use of the “Procurement Function Assessment Tool” (the “Tool”) provided by Japan Management Association Consultants Inc. (the “Company”).
2. The Tool may be used only by corporations and other business entities (collectively, “Users”). Applications for or use of the Tool by individuals acting as consumers are not permitted.
3. Users shall review the contents of these Terms and indicate their consent by checking the designated checkbox on the applicable screen or by another method specified by the Company. By providing such consent, Users shall be deemed to have agreed to be legally bound by all provisions of these Terms.

1. The Company grants Users a non-exclusive and non-transferable right to use the Tool solely for the purpose of diagnosing and evaluating their own procurement functions.
2. The Tool is provided through a website, where Users enter data and receive the assessment results in electronic file format (the “Assessment Results”).

1. Users shall not engage in any of the following activities without the Company’s prior explicit written consent:

(1) Allowing any third party, including subsidiaries, affiliates, or business partners, to use the Tool.
(2) Reselling or redistributing the Assessment Results, or providing or disclosing them to any third party.
(3) Disclosing to any third party any know-how, methods, or other information of the Company obtained through the Tool.
(4) Analyzing the Tool, including reverse engineering, decompilation, or source code analysis.
(5) Accessing the Tool or obtaining or collecting data by automated means, including bots, scraping tools, or crawlers.
(6) Circumventing or disabling any security mechanism of the Tool, or attempting unauthorized access.
(7) Transmitting harmful programs, including viruses or malware, or engaging in any activity that places an excessive load on the Tool or its servers.

1. Users agree that the Company may store the questionnaire response data and Assessment Results obtained through use of the Tool in the Company’s database.
2. If the Tool is provided to a User through the referral of a third party (the “Referring Partner”), the User agrees in advance that the Company may disclose and share all or part of the Assessment Results and registration information (as defined in the following Article) with such Referring Partner.
3. The Company may freely use the stored data for its business purposes after processing it into statistical information or other forms that do not identify any specific company or individual.

1. The Company shall collect personal information and information identifying a company, such as the company name and email address entered by the User (collectively, the “Registration Information”), and shall handle such information appropriately in accordance with the Company’s Privacy Policy (https://www.jmac.co.jp/privacy_policy/).
2. Consent to Data Storage on Overseas Servers and Use of External Platforms:
   The User acknowledges that the Tool is provided using the platform service “ScoreApp,” operated by Hyper Targeted Marketing Limited trading as ScoreApp, a company incorporated under the laws of the United Kingdom. The Registration Information, questionnaire response data, and Assessment Results entered or generated through the Tool will be stored and processed by Hyper Targeted Marketing Limited trading as ScoreApp and its subprocessors. Although the primary cloud hosting is located within the European Union, depending on the functions used, such data may be transferred to, or processed in, the United States or other countries or regions outside the UK/EEA. The User agrees in advance to such transfer and processing.
3. The User shall use the Tool after understanding the level of data protection provided by the external platform (ScoreApp) described in the preceding paragraph and its Privacy Policy (https://www.scoreapp.com/privacy-policy/).

1. Users shall, at their own responsibility and expense, take any measures necessary to back up the data entered into the Tool and the Assessment Results. Neither the Company nor the external platform provider shall be obligated to restore any input data that is lost, damaged, or not delivered due to communication errors or other causes.

1. Users shall strictly manage the Company’s confidential information and know-how obtained in connection with the use of the Tool and shall not disclose or divulge such information to any third party without the Company’s prior written consent.

1. The Company may suspend or terminate the provision of the Tool without prior notice to Users due to system maintenance or inspection, force majeure, business decisions, or other reasons.
2. The Tool is provided on an “as-is” and “as-available” basis and is delivered using the external platform ScoreApp. Neither the Company nor the external platform provider shall be liable for any system failure, server outage, communication failure, maintenance, API specification change, security incident, or any resulting loss of data, malfunction, or inability to use the Tool.
3. The Company does not warrant the accuracy, effectiveness, or fitness of the Assessment Results for any particular business purpose.
4. The Company shall not be liable, regardless of the cause, for any direct, indirect, incidental, or consequential damages, including loss of profits, arising out of or in connection with the use of, inability to use, or reliance on the Tool or the Assessment Results.

1. The Company may amend these Terms without prior notice to Users. The amended Terms shall become effective upon being posted on the Company’s website or by other appropriate means.

1. These Terms shall be governed by and construed in accordance with the laws of Japan. Any dispute arising out of or in connection with the Tool shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
